Private Limited Company Registration in India: Step-by-Step Process
Private Limited Company registration in India is done fully online on the Ministry of Corporate Affairs (MCA) portal using the SPICe+ form. With documents ready, it usually takes one to three weeks.
Documents required
- Directors and shareholders: PAN, Aadhaar, passport-size photo, address proof (recent bank statement or utility bill), email and mobile number.
- Registered office: rent agreement or ownership proof, a recent utility bill, and a No Objection Certificate (NOC) from the owner.
- Two or three name options and a short description of the business.
Step 1: Digital Signature Certificate (DSC)
Every proposed director and subscriber needs a DSC to sign the online forms.
Step 2: Name approval
The company name is reserved through SPICe+ Part A. The name must not match an existing company or a registered trademark, so we check availability first.
Step 3: SPICe+ Part B and linked forms
- SPICe+ Part B: incorporation details, capital, directors and office address. DIN is allotted to new directors here.
- e-MoA (INC-33) and e-AoA (INC-34): the company's objects and internal rules.
- AGILE-PRO-S (INC-35): applies for GSTIN (if needed), EPFO, ESIC, professional tax and a bank account together.
Step 4: Certificate of Incorporation
Once MCA approves, you receive the Certificate of Incorporation with the company's CIN, PAN and TAN.
After incorporation
- Open the company bank account and deposit the share capital.
- Appoint the first auditor within 30 days of incorporation.
- File INC-20A (commencement of business) within 180 days.
- Issue share certificates and keep statutory registers.
- Register for GST, professional tax and shops licence as applicable.
